Henkel Will Reorganize Top Management in 2005

Klaus Morwind and Uwe Specht, two long-time members of the management board of Henkel KGaA,will resign from their offices as members of the management board in 2005, after reaching the mandatoryretirement age of 62.

“The early announcement of this change is in line with the tradition of management continuity andresponsibility that has always distinguished Henkel,” said Ulrich Lehner, chairman of the managementboard of Henkel KGaA. “The choice of the successors demonstrates again that we strengthen theinternationalization of our businesses through international management.”

Friedrich Stara will succeed Mr. Morwind as executive vice president, laundry and home care, onJuly 1, 2005. Mr. Stara, a native of Austria who has been with Henkel since 1976, held differentpositions in the laundry and home care business in Austria and Germany. Since 1998, Stara hasbeen president of Henkel Central/Eastern Europe, responsible for the overall Henkel business inCentral and Eastern Europe, which is managed from Vienna, Austria. Gunter Thumser, a memberof the management board of Henkel Central/Eastern Europe and responsible for the laundry and homecare business there, will become Mr. Stara’s successor.

Hans Van Bylen will succeed Mr. Specht as executive vice president, cosmetics/toiletries, on July 1,2005. Mr. Van Bylen, a native of Belgium, has been with Henkel in various international positions since1984. Following assignments in the laundry and home care business sector, he joinedcosmetics/toiletries in 1991. In his current function, Mr. Van Bylen is responsible for Henkel’sinternational hair care and its overseas cosmetics business.

The Henkel management board, led by chairman Mr. Lehner, currently consists of Mr. Morwind; Mr.Specht; Jochen Krautter, executive vice president of Henkel Technologies; Alois Linder, executivevice president of consumer and craftsmen adhesives; Lothar Steinebach, executive vice president offinance and Knut Weinke, executive vice president of human resources, logistics and informationtechnology.
