Swisher Hygiene, Inc., a provider of essential hygiene and sanitation products and services, has acquired Chemical Sanitizing Systems, Ltd., a Le Mars, Iowa-based hygiene and chemicals company.

Chemical Sanitizing Systems has been in business since 1990 and serves Iowa, Nebraska, North Dakota, South Dakota and Minnesota along with parts of eastern Wyoming. Chemical Sanitizing Systems provides specialty chemicals and service programs such as warewash, laundry, housekeeping and floor care to the foodservice and hospitality industries, with its products delivered by its employees. Concurrent with the acquisition, John Nobel, the founder of Chemical Sanitizing Systems, will be joining Swisher Hygiene.

“We continue to look for the optimal companies to add to the Swisher Hygiene family and are excited to bring Chemical Sanitizing Systems on board as we further expand our presence in the Central and Great Plains states in the U.S.,” said Steven R. Berrard, chief executive officer of Swisher Hygiene. “John has over 47 years of experience in the industry, and his addition to Swisher Hygiene will be a major boost to our efforts as we continue the rapid growth of our warewash, laundry, cleaning chemical and facility service businesses.”

Total consideration paid for by Swisher Hygiene in connection with the acquisition includes $100,000 in cash, the assumption of certain liabilities and the issuance of up to 98,381 shares of common stock of Swisher Hygiene, subject to certain restrictions, including acceptance by the Toronto Stock Exchange.
