Elizabeth Arden, Inc. has filed with the Securities and Exchange Commission a preliminary prospectus supplement to its existing shelf registration statement relating to a proposed underwritten offering more than 2 million shares of its common stock by affiliates of Unilever N.V.

The shares are being offered by Unilever and the Unilever United States Foundation, Inc. and represent the remaining common shares underlying the company’s Series D Convertible Preferred Stock. After the offering, Unilever and the UUSF will no longer own any shares of the Elizabeth Arden’s common stock or Series D Preferred Stock. The company intends to use any net proceeds it receives from the exercise of the over-allotment option to reduce borrowings under its revolving credit facility.
