Virgin Group Acquisition Corp. II, the publicly traded special purpose acquisition company sponsored by Virgin Group, says its shareholders voted to approve the previously announced business combination with Grove Collaborative, Inc.

More than 91% of the votes cast at the company’s special meeting were in favor of the approval of the business combination.

The alliance expected to close on June 16, 2022, subject to the satisfaction of customary closing conditions.

In connection with the consummation, VGII will change its name to Grove Collaborative Holdings, Inc. (New Grove). New Grove’s shares and warrants are expected to begin trading on the New York Stock Exchange under the ticker symbols GROV and GROV WS, respectively on June 17, 2022.

The Grove-Virgin Group combination was first announced in August 2021.
